Terms of Service

These Terms govern your use of the Workerⁿ platform and services (the Service), provided by WorkerN Pty Ltd (ABN 21 700 036 684) (Workerⁿ, we, us). By creating an account, starting a subscription or using the Service, you agree to these Terms on behalf of yourself and the business you represent (you). If you do not agree, do not use the Service. Our Privacy Policy forms part of these Terms.

1. The Service

Workerⁿ is an AI-assisted bookkeeping and accounts receivable platform. It connects to your accounting software (such as Xero, with support for other platforms planned over time), prepares bookkeeping work such as transaction coding, reconciliations and receivables follow-up, and presents that work to you for review.

You approve, then it posts. The Service prepares changes and holds them until an authorised user approves them. Changes are logged and, where the accounting platform allows, can be reversed.

Unless we agree otherwise in writing, the Service does not:

  • post anything to your ledger without approval from an authorised user;
  • move money, make payments or operate your bank accounts;
  • lodge BAS, tax returns or any other document with a government agency; or
  • provide tax, legal, financial or accounting advice. You remain responsible for obtaining that advice from an appropriately qualified or registered professional.

We may improve, change or discontinue features over time. We will not materially reduce the core functionality of your plan during a paid billing period without notice.

2. Accounts and users

You must give us accurate information, keep login details secure and tell us promptly about any unauthorised access. You are responsible for everything done through your account, including by people you invite (Authorised Users). You must be at least 18 and have authority to bind the business you register.

Accounting firms and bookkeepers. If you use the Service for your clients’ files, you confirm you have your clients’ authority to connect their accounting data to the Service and to share it with us, and that you have told them how it will be handled, consistent with our Privacy Policy. You remain responsible to your clients for the work you approve.

3. Connected platforms

The Service relies on the third-party accounting and business platforms you choose to connect, such as Xero and any others we support in future. Your use of those platforms is governed by their own terms. By connecting a platform you authorise us to access and act on it within the permissions you grant. We are not responsible for outages, changes or errors in third-party platforms, and you can revoke our access at any time from within that platform.

4. Your responsibilities

You agree to:

  • review work prepared by the Service before approving it. Once you approve a change, it is your record and your responsibility, as it would be if a staff member had prepared it;
  • give us complete and accurate source information, and tell us about anything unusual in your books that we should know;
  • use the Service only for lawful business purposes; and
  • not copy, resell, reverse engineer or interfere with the Service, probe its security, or use it to build a competing product.

5. AI-generated outputs

The Service uses artificial intelligence, including third-party models, to prepare suggestions. AI outputs can be incomplete or wrong. They are drafts for your review, not professional advice. We design the Service so that a person reviews and approves each change, and you should not rely on any output without that review.

6. Subscriptions, fees and payment

  • Plans. Fees are set out in your plan or order form (for example, a monthly fee per business, or per client file for firms). Fees are in Australian dollars unless stated otherwise and exclude GST or other applicable taxes, which we will add where required.
  • Billing. Subscriptions are billed monthly in advance and renew automatically until cancelled. Onboarding or setup fees are billed up front and, where your order says so, credited against your first subscription invoice.
  • Trials and pilots. A free or discounted period applies only as described in your order. At its end, your plan starts at the agreed rate unless you cancel before then.
  • Price changes. We may change our fees by giving you at least 30 days’ notice. The new price applies from your next billing period after that notice.
  • Late payment. If an invoice is more than 14 days overdue, we may suspend the Service after giving you notice. Suspension does not delete your data.
  • Refunds. Fees already paid are non-refundable, except where required by law or where we terminate for convenience (in which case we refund any prepaid fees for the unused period).

7. Your data

Your data stays yours. You (or your clients) own all data you or your connected platforms provide to the Service (Customer Data). You give us a limited licence to host, copy, process and use Customer Data only to provide, secure, support and improve the Service, and as described in our Privacy Policy.

  • We do not sell Customer Data.
  • We do not use Customer Data to train AI models, and our AI providers’ terms commit them not to train on it.
  • We may use aggregated, de-identified information about how the Service is used to keep the Service accurate. We keep a secure snapshot of connected accounting data and use it to test and check the quality of our work. We also use information about how the Service is used, including through our analytics provider, to fix problems and improve it. This data is never sold, never shared with other customers and never used to train AI models.

We keep Customer Data confidential and protect it with reasonable technical and organisational security measures. If we become aware of a data breach affecting your Customer Data, we will notify you without undue delay and meet our obligations under applicable privacy law.

8. Intellectual property

We (and our licensors) own the Service, including its software, prompts, workflows and documentation. We grant you a non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. If you give us feedback, we may use it without obligation to you.

9. Warranties and Australian Consumer Law

We will provide the Service with due care and skill. Otherwise, to the extent permitted by law, the Service is provided “as is” and we do not warrant that it will be uninterrupted, error-free or suitable for any particular purpose.

Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for a failure to comply with a consumer guarantee can be limited, it is limited to supplying the Service again or paying the cost of having it supplied again.

10. Liability

To the extent permitted by law:

  • our total liability arising out of or in connection with these Terms is capped at the fees you paid us in the 12 months before the event giving rise to the claim;
  • neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill; and
  • we are not liable for loss caused by entries you approved, by inaccurate information you provided, by third-party platforms, or by events beyond our reasonable control.

These limits do not apply to your obligation to pay fees, or to either party’s liability for fraud, wilful misconduct or breach of confidentiality.

You indemnify us against third-party claims (including claims by your clients) arising from your breach of these Terms or from connecting data you were not authorised to share.

11. Term, cancellation and exit

  • You may cancel at any time from your account or by emailing us. Cancellation takes effect at the end of your current billing period, and you keep access until then.
  • We may terminate for convenience with 30 days’ notice, or immediately if you materially breach these Terms and do not remedy the breach within 14 days of notice (or immediately if it cannot be remedied).
  • When you leave: work already posted to your accounting platform remains yours. For 30 days after termination you can ask us to export your Customer Data. After that, we may keep Customer Data for a reasonable period for legal, audit, dispute and quality purposes, protected as described in these Terms, and will delete it on request unless the law requires us to keep it.
  • Clauses about fees owed, data, confidentiality, liability and indemnities survive termination.

12. General

  • Changes to these Terms. We may update these Terms. For material changes we will give you at least 30 days’ notice by email or in the Service. Continuing to use the Service after that date means you accept the updated Terms.
  • Disputes. Before starting proceedings, each party will try in good faith to resolve a dispute by discussion between senior representatives for at least 20 business days.
  • Governing law. These Terms are governed by the laws of Victoria, Australia, and each party submits to the non-exclusive jurisdiction of its courts. If you are based in the United Kingdom, this does not deprive you of any mandatory protection under UK law.
  • Other. You may not assign these Terms without our consent; we may assign them to a successor of our business. If any part is unenforceable, the rest continues. These Terms, your order form and our Privacy Policy are the entire agreement on this subject; if they conflict, the order form prevails.
